Our client is a leading real estate investment and development powerhouse, renowned for its innovative approach and impressive portfolio of projects across the region. They are seeking an Assistant Secretary, who will play a vital role in supporting the Corporate Secretary in maintaining the highest standards of corporate governance and compliance.
Responsibilities:
Assist the Corporate Secretary in organizing and attending board and committee meetings, including preparing agendas, collating and distributing meeting materials, and taking comprehensive minutes.
Maintain up-to-date records of the company's statutory books and registers, including minutes, resolutions, and other corporate documentation.
Coordinate the timely filing of all necessary statutory returns and reports with relevant regulatory authorities.
Manage the annual general meeting process, including the preparation and distribution of shareholder communications and the coordination of the event.
Assist in the implementation and monitoring of the company's corporate governance policies and procedures.
Liaise with external service providers, such as legal counsel and share registrars, to ensure the company's compliance with all applicable laws and regulations.
Provide administrative support to the Corporate Secretary, including managing correspondence, maintaining schedules, and arranging travel and accommodation.
Contribute to the continuous improvement of corporate governance practices and procedures within the organization.
Perform any other duties as assigned by the Corporate Secretary to support the overall efficiency and effectiveness of the department.
Requirements:
A bachelor's degree or equivalent qualification in law, business administration, or a related field.
A minimum of 5 years of experience in a similar assistant or secretarial role, preferably in the real estate or financial services industry.
Strong knowledge of corporate governance best practices, company law, and regulatory requirements in Hong Kong.
Excellent written and verbal communication skills in both English and Chinese.
Proficient in the use of Microsoft Office suite, particularly Excel, PowerPoint, and Word.
Ability to work under pressure, prioritize tasks, and meet strict deadlines.
Excellent organizational and time management skills, with a keen attention to detail.
Proactive and resourceful, with the ability to work independently and as part of a team.
Flexible and adaptable to changing priorities and requests.
Eligible to work in Hong Kong is a must.
